Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you" or "user"), and Arkinsta, LLC. ("we," "us," or "our"), concerning your access to and use of the Nuzerna productivity and project management platform, including the website nuzerna.com and any related services (collectively, the "Platform").

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Platform and must discontinue use immediately.

1. Account Registration and Security

To use the Platform, you must be at least 13 years old. You may register for an account using a third-party service such as Google. You agree to provide and maintain true, accurate, and complete information. You are solely responsible for all activities that occur under your account and for maintaining the confidentiality of your account credentials.

2. Subscriptions, Payments, and Cancellation

The Platform may be provided for free or on a paid subscription basis. All fees for paid plans are processed securely through our third-party payment processor, Stripe.

Billing: Paid plans are billed in advance on a recurring, periodic basis (e.g., monthly or annually). Your subscription will automatically renew at the end of each billing cycle unless you cancel it.
Cancellation: You may cancel your subscription at any time through your account settings. The cancellation will take effect at the end of the current billing period, and you will retain access to the paid features until that date.
No Refunds: Payments are non-refundable, except as required by law or at our sole discretion.
Price Changes: We reserve the right to change our subscription fees upon 30 days' notice. Your continued use of the service after a price change constitutes your agreement to pay the new amount.

3. Acceptable Use

You agree not to use the Platform to:

Violate any applicable local, state, national, or international law.
Upload, post, or transmit any content that is unlawful, harmful, defamatory, obscene, or infringing on intellectual property rights.
Transmit any viruses, malware, or other malicious code.
Attempt to gain unauthorized access to our systems, user accounts, or data.
Reverse-engineer, decompile, or otherwise attempt to discover the source code of the Platform.

4. Content and Data Ownership

Your Content: You retain all ownership rights to the content you create, upload, or store on the Platform, including tasks, projects, and documents ("User Content").
Our License to Your Content: By using the Platform, you grant us a limited, non-exclusive, worldwide, royalty-free license to use, store, display, reproduce, and distribute your User Content solely for the purpose of operating, providing, and improving the Platform.
Our Intellectual Property: The Platform itself, including its source code, design, branding, and all related intellectual property, is and will remain the exclusive property of Arkinsta, LLC. and its licensors.

5. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause or notice, for any reason, including for a breach of these Terms or non-payment of fees. You may terminate your account at any time by following the instructions on the Platform. Upon termination, your right to use the Platform will cease immediately, and we may delete your User Content.

6. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL ARKINSTA, LLC., ITS AFFILIATES, OFFICERS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE PLATFORM.

8. Indemnification

You agree to defend, indemnify, and hold harmless Arkinsta, LLC. and its employees and affiliates from and against any claims, damages, liabilities, and expenses arising from your use of the Platform or your violation of these Terms.

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law principles. Any dispute arising from these Terms shall be resolved through binding arbitration in New Castle County, Delaware, rather than in court.

10. General Provisions

Changes to Terms: We reserve the right to modify these Terms at any time. We will provide notice of significant changes. Your continued use of the Platform after such changes constitutes your acceptance of the new Terms.
Severability: If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish its objectives to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
Entire Agreement: These Terms constitute the entire agreement between you and Arkinsta, LLC. regarding your use of the Platform.
